GOLF CAMP Giveaway Rules (PS)

The GOLF CAMP event tickets (“Giveaway”) begins at 3 p.m. Eastern Time (“ET”) on Friday, March 7, 2025, and ends at 8:59:59 p.m. ET on Tuesday, March 10, 2025 (“Giveaway Period”).

To enter, during the Giveaway Period, a user may be served a Skratch Instagram ad. The user will follow @Skratch, follow @delcampo on Instagram, and like the post.

Two (2) winners will be selected in a random drawing held on or about Tuesday, March 11, 2025, from among all eligible entries received during the Giveaway Period. Prize consists of two GOLF CAMP General Admission Passes, approximate retail value $25 each. Total value of all prizes is $100.

GENERAL GIVEAWAY TERMS & CONDITIONS

1. RULES APPLICABLE TO ALL GIVEAWAYS: These General Giveaway Terms & Conditions (“General Rules”) govern all giveaways conducted by Pro Shop Holdings, Inc. (“Giveaway Sponsor”) and its affiliated companies, including but not limited to Skratch Media LLC, Pro Shop Studios, LLC and Sugarloaf Social Club, LLC. Each giveaway will have additional terms that govern that specific giveaway (“Additional Rules”). The Additional Rules will be contained in or linked to the marketing associated with that giveaway. The Additional Rules will prevail in the event of an inconsistency between the General Rules and the Additional Rules.

2. ELIGIBILITY: Giveaways are open to legal residents of the fifty (50) states of the United States and the District of Columbia age eighteen (18) years or older at the time of entry, unless otherwise specified. The following persons are not eligible to participate: employees, directors, and officers of Pro Shop Holdings, Inc. (“Giveaway Sponsor”) and employees, directors, and officers of a prize sponsor, when applicable, or any of their respective parent, subsidiary and affiliated companies, or advertising agencies, or other entities associated with the giveaway (collectively, “Promotion Parties”) and the immediate family members (spouse, parent, child, sibling, grandparent, and/or “step”) and those living in the same households (whether related or not who live in the same residence for at least three (3) months during the twelve (12) month period preceding the start date of the giveaway) as any such person.

3. GIVEAWAY PERIOD: Each giveaway will have a specific start and end date and time (“Giveaway Period”) as indicated in the giveaway announcement/Additional Rules. All times are Eastern Times unless otherwise stated. The server hosting the applicable website is the official clock for the giveaway. Entries submitted before or after the specified period will not be eligible, unless explicitly stated in the Additional Rules.

4. HOW TO ENTER: No purchase necessary to enter or win. Participants must follow the instructions provided in the giveaway announcement and/or Additional Rules, which may include submitting an entry form, subscribing to a newsletter, following a social media account, or other similar actions. Entries generated by script, macro, or other automated means are void. Limit one entry per person/email address per giveaway unless otherwise stated. The use of multiple e-mail addresses, social media profiles, website accounts, or other methods to create additional registrations/entries for a single individual is prohibited and will result in disqualification from the giveaway in the sole discretion of Giveaway Sponsor.

5. PRIZES AND SELECTION OF WINNERS: The number, nature and value of the prizes in each giveaway will be detailed in the announcement/Additional Rules. Winners will be selected at random from all eligible entries received during the Giveaway Period. Odds of winning depend on the number of eligible entries. Prizes are non-transferable and cannot be exchanged or redeemed for cash. Giveaway Sponsor reserves the right to substitute a prize or prize component of equal or greater value if the advertised prize or prize component becomes unavailable for any reason. If merchandise is provided as part of the prize package, numbers, colors, styles, sizes, types, designs, flavors, and other details are in Giveaway Sponsor’s sole discretion and are subject to availability. Merchandise prizes are provided “as is” and are subject only to the standard warranties provided by the manufacturer, if any. Any gift card prizes are subject to all terms and conditions generally applicable thereto. Giveaway Sponsor will not replace lost or stolen gift cards. Winner is solely responsible for any costs associated with use of a prize, including but not limited to any subscriptions, repairs and maintenance, licenses, insurance, or other expenses. If a winner is deemed a minor in their state of residence, the prize will be awarded in the name of a parent or legal guardian. Any local, state, or federal taxes associated with the prize are the sole responsibility of the winner. If the prize value exceeds $600, or if a single individual earns prizes in a calendar year with a total value in excess of $600, Giveaway Sponsor will issue a 1099 form to the winner at the appropriate time. Limit one prize per person/e-mail address per giveaway.

6. TERMS APPLICABLE TO EVENT TICKET AND TRAVEL PRIZES: Event ticket prizes will include the event tickets only, unless expressly stated otherwise in the Additional Rules. Winners are solely responsible for any costs of using a prize that are not expressly listed as included (including but not limited to travel expenses, parking, ground transportation, hotel, meals and beverages, souvenirs, and any other costs). Winner agrees to maintain his or her behavior and the behavior of all guests in accordance with all applicable laws, venue policies, and generally accepted social practices in connection with participation in any prize activity and/or attendance at any event. Tickets are subject to all terms and conditions generally applicable thereto. There shall be no compensation or prize substitution if any or all of the ticketed event is cancelled or rescheduled for any reason. If a prize includes travel, Giveaway Sponsor will process the winner’s prize travel arrangements. Once scheduled, the trip must be taken on dates and times arranged by Giveaway Sponsor or the prize will be forfeited in its entirety without compensation or substitution. Changes are not permitted after air ticket(s) is booked or hotel is booked. Giveaway Sponsor is not responsible for travel delays or cancellations. There shall be no compensation or prize substitution if winner or guest(s) are unable to attend an event or take the trip by reason of illness, family emergency, personal events, terrorism, labor strikes, weather, or other acts beyond Giveaway Sponsor’s control. If the travel prize allows for guest(s), then the winner and guest(s) must travel on same itinerary. Winner and guest(s) are solely responsible for obtaining (and traveling with) valid identification and any other required documents. If any guest is a minor in his/her jurisdiction of residence, he/she must be accompanied on the trip by his/her parent or legal guardian, who must be either the winner or another guest of the winner. If the travel prize includes air ticket(s), the ticket(s) will be for coach class air travel and the ticket(s) will be between major airports near winner’s residence and the destination as selected by Giveaway Sponsor, unless the Additional Rules state differently. If a winner lives within 200 miles of the destination, Giveaway Sponsor may substitute ground travel for the air ticket portion of the prize and winner will not receive any compensation for the difference in value. The actual value of the travel prize depends on the departure and arrival cities, travel dates, activities, market fluctuations, and other factors. The winner will not be awarded the difference between the estimated value of the travel prize and the actual prize value, if any. Trip prize elements (such as, air transportation and hotel accommodations) may be subject to availability, black-out dates, and other restrictions. Winner and guest(s) are responsible for all costs and expenses of the prize trip that are not expressly stated as included (including but not limited to parking, ground transportation, baggage fees, meals and beverages, insurance, laundry, souvenirs and other personal expenses). Travel prizes must be completed within the period stated in the Additional Rules or within one year from the award if the Additional Rules do not state a period. If the travel prize is not completed within the applicable period, then the prize will be forfeited in its entirety with no compensation or substitution of the prize.

7. CONFIRMATION OF WINNERS AND PRIZE FULFILLMENT: Giveaway Sponsor will notify potential winner via e-mail at the e-mail address provided in the registration/entry within five (5) days of the drawing and potential winner must sign and return via e-mail a declaration of eligibility and liability/publicity release and a W-9 form (if applicable) within fourteen (14) days from the notification date to formally claim the prize. If a prize notice is returned as undeliverable, or if a potential winner fails to properly claim the prize by returning the signed documents by the deadline specified, or if a potential winner is determined to be ineligible or otherwise not in compliance with these General Rules or the Additional Rules, or if a potential winner declines the prize, then the prize will be forfeited in its entirety and another potential winner will be selected at random from among remaining eligible entries and notified in accordance with these General Rules. If Giveaway Sponsor is unable to confirm a winner after five (5) attempts, Giveaway Sponsor may allow the prize to remain unawarded, as determined in its sole discretion. Returned prizes will not be awarded. Giveaway Sponsor may choose not to award a prize to an alternate winner if a prize is forfeited after confirmation of a winner for any reason. Physical prizes will be shipped to the winner at the mailing address provided during the confirmation process within six to eight weeks following confirmation, and may come in separate shipments, unless otherwise specified in the Additional Rules. Digital prizes will be sent via e-mail to the winner at the e-mail address associated with the entry within six to eight weeks following confirmation. Giveaway Sponsor is not responsible for any e-mail or other communication getting stuck in a spam filter, junk folder, or otherwise not reaching its destination. To obtain a winners’ list by mail, send a self-addressed stamped envelope to Giveaway Sponsor and reference the name of the specific giveaway. Requests must be made within ten (10) days following the end of the Giveaway Period. Requests received outside of this period will not be processed. Allow six to eight weeks from the close of the giveaway for receipt of list.

8. MOBILE ENTRY & DISPUTES: If you enter the giveaway using a mobile device, standard data charges may apply from your carrier. In the event of a dispute as to the identity of a registrant, the entry will be deemed submitted by the holder of the e-mail account provided during registration/entry. The "account holder" is the natural person assigned an e-mail address or service by the organization responsible for assigning addresses for the domain associated with the submitted address. A potential winner may be required to show proof of being the registered account holder for the e-mail associated with the winning registration/entry. Any attempt by an entrant or anyone else to deliberately damage the Giveaway Sponsor website or undermine the legitimate operation of the giveaway is a violation of criminal and/or civil laws and, should such an attempt be made, Giveaway Sponsor reserves the right to disqualify any such entrant and seek damages to the fullest extent permitted by law, in its sole discretion. Giveaway Sponsor reserves the right, in its sole discretion, to void suspect entries, or to modify, cancel, or suspend the giveaway should virus, bugs, non-authorized human intervention or other causes beyond the control of Giveaway Sponsor corrupt or impair the administration, security, or fairness of the giveaway. In any such event, Giveaway Sponsor reserves the right to select winners from among all eligible registrants/entrants prior to the occurrence requiring such action. No more than the advertised number of prizes will be awarded. Giveaway Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the giveaway or in the announcement of the prizes.

9. SOCIAL MEDIA PLATFORMS: Any giveaway advertised or operated on any social media channel or platform (“Platform”) is in no way sponsored, endorsed, administered or associated with that Platform. Any such giveaway is subject to all terms, conditions and policies applicable to promotions operated on the Platform, and all comments, posts, shares and other activities by participants on the Platform must comply with all policies of the Platform. Participants expressly release the Platforms from any liability arising out of their participation in a giveaway that is operated or advertised on any Platform.

10. RELEASES: All participants (a) agree that the Promotion Parties, and their respective parents, subsidiaries and affiliated companies, advertising and promotion agencies, and each of their respective officers, directors, employees, representatives and agents will have no liability whatsoever for, and shall be indemnified and held harmless by participants against any liability for, any injuries, losses or damages of any kind to person(s), including, without limitation, death, or property resulting in whole or in part, directly or indirectly, from the acceptance, possession, misuse or use of prize (and/or any prize components), or participation in a giveaway or giveaway-related activities and (b) acknowledge that said parties have neither made nor are in any manner responsible for any warranty, representation or guarantee, express or implied, in law or in fact, relative to the prize (and/or any prize components), including but not limited to, their quality, merchantability or fitness for the intended purpose. Giveaway Sponsor assumes no responsibility for network, hardware, software, telephone, cable or other technical failures; or for incomplete, damaged, misdirected, illegible, garbled or lost e-mail or mail communications. Giveaway Sponsor is not responsible for injury or damage to participants' or to any other person's computer or mobile device related to or resulting from participating in a giveaway. By entering a giveaway, you agree that Giveaway Sponsor, and those acting under its authority, may use your name, hometown, likeness/photograph and/or voice for advertising and promotional purposes in any media without limitation and without further consideration if you are a winner, unless prohibited by law. By participating in a giveaway, you agree to these General Rules, the Additional Rules and the decisions of Giveaway Sponsor, which shall be final and binding in all respects.

11. GENERAL TERMS: Giveaway Sponsor reserves the right to cancel, suspend, or modify a giveaway if fraud, technical failures, or any other factor beyond its reasonable control affects the integrity of the giveaway. Any attempt by an entrant to undermine the legitimate operation of the giveaway may result in disqualification.

12. PRIVACY: Personal information collected during the giveaway will be used in accordance with the Giveaway Sponsor’s privacy policy. By entering, participants agree to receive communications from the Giveaway Sponsor, including promotional materials, unless they opt out.

13. GOVERNING LAW & DISPUTE RESOLUTION: Giveaways shall be governed by the laws of the State of Florida. Each entrant knowingly and voluntarily intends and agrees that (i) the mandatory, exclusive venue for any action in any way related to or arising out of a giveaway or prizes awarded shall be resolved individually without resort to any form of class action and shall be in the state and federal courts in and for St. Johns County, Florida; and (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering any giveaways, but in no event attorneys' fees. Each entrant hereby knowingly and voluntarily waives any and all objections to venue and personal jurisdiction in the foregoing, and submit themselves thereto. Each entrant hereby waives any right it may have to assert the doctrine of forum non conveniens or similar doctrine or to object to venue with respect to any proceeding brought in accordance with this paragraph, and stipulates that the aforementioned courts shall have in personam jurisdiction and venue over them for the purpose of litigating any dispute, controversy, or proceeding arising out of or related to a giveaway.

14. CLASS ACTION WAIVER: Each party agrees that an arbitrator, judge, magistrate or other similar authority may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding, and that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. You agree to waive any right to a jury trial or to participate in a class action.

15. LIMITATION OF LIABILITY: By participating, entrants agree to release the Giveaway Sponsor and its affiliates, officers, directors, employees, and agents from any and all liability, loss, or damage arising from participation in the giveaway or acceptance of any prize. The Giveaway Sponsor is not responsible for lost, late, misdirected, incomplete, or incorrect entries, e-mails, mail, shipments, or other communications.

16. GIVEAWAY SPONSOR: Pro Shop Holdings, Inc., 2 PGA Tour Blvd., Ponte Vedra Beach, FL 32082 is the Giveaway Sponsor of the giveaway. The prize sponsor, if applicable, will be identified in a giveaway announcement. All inquiries regarding a giveaway should be sent to giveaways@proshop.inc and reference the name of the specific giveaway.
